Booking Terms

Westfield Rise powered by lo:live is a platform through which brands, directly or via their agencies, can buy space or media within the Unibail-Rodamco-Westfield Group shopping centres for running marketing campaigns.

The booking of space or media within the Unibail-Rodamco-Westfield Group shopping centres is governed by the herein terms (the “Booking Terms”).

By clicking on the dedicated click box, you agree and accept the Booking Terms.

  1. Definitions


    Access Conditions

    The access conditions set out in clause 5.

    Access Date

    The first day of the Hire Period.

    Amended Booking Confirmation

    A Booking Confirmation that has been modified.

    Additional Costs

    Any additional costs, fees or charges agreed by the Client and the Location Provider (whether agreed before or after the Booking Confirmation is issued).

    Booking Proposal

    A proposal for a booking issued by a Location Provider to the Client.

    Booking Request

    A request for a booking made by the Client on the Platform via a booking application form.

    Campaign

    The marketing campaign the Client wishes to conduct in the Space during the Hire Period.

    Cancellation Fee

    The cancellation fee payable to the Location Provider in accordance with clause 9.2.

    Client

    The party conducting the Campaign and who will accept and must comply with the Booking Terms and will enter into the Licence either directly or via its agency.

    Booking Confirmation

    The Booking Confirmation is issued by the Location Provider to the Client to validate the availability of the Space requested by the Client.

    The Booking Confirmation is legally binding on the Client. However, the Client must sign a Licence to secure the booking. Unless and until the Client has signed a Licence with the Location Provider, the Location Provider cannot guarantee that the Space will remain available for your Campaign and reserves the right to cancel or modify your booking.

    Cost of Space

    The cost to hire the Space. The applicable VAT is the VAT and VAT rate of the jurisdiction in which the Location is located.

    Hire Period

    The period for which the Space is booked and during which the Campaign is to be conducted.

    Licence

    The Booking Terms only cover the booking of a Space. The terms applicable for conducting the Campaign within the Location are governed by the Licence, which is a contract to be entered into between the Client and the Location Provider permitting the Client to use the Space for the Hire Period to conduct the Campaign.

    Unless and until the Client has signed a Licence with the Location Provider, the Location Provider cannot guarantee that the Space will remain available for your Campaign and reserves the right to cancel or modify the booking. You can view the template Licence terms here.

    Location

    The shopping centre where the Space is located.

    Location Live

    Location Live Limited, a company incorporated and registered in England and Wales with company number 08307715 whose registered office is at The Courtyard, 37 Sheen Road, Richmond, TW9 1AJ, United Kingdom.

    Location Live operates the Platform and is responsible for ensuring that the Platform complies with its Terms of Use (including terms governing client account creation and management).

    Location Provider

    The owner of the Location where the Space is located or a related party authorised to act on its behalf.

    Platform

    The Westfield Rise powered by lo:live platform available at westfieldrise.locationlive.com

    Space

    The designated area for the Campaign, which can be a physical area or a space for realising experiential activity or displaying digital/online/media advertising

    Unibail-Rodamco-Westfield Group

    The group of companies comprising Unibail Rodamco Westfield SE, registered with the Paris Trade and Companies Registry under number 682 024 096, and its affiliates (as defined by the French Commercial Code).

    Westfield Rise International

    Westfield Rise International is a simplified joint stock company with a capital of €20 000, having its registered office at 7 place du Chancelier Adenauer 75016 Paris, France, registered within the Paris Register under number 930 743 869.

    Westfield Rise International acts as intermediary between the Client and the Location Providers. As such, the Booking Terms are entered by and between Westfield Rise International and the Client.

  2. Booking Proposal

    The Location Provider may send you a Booking Proposal for you to book a Space.


    A Booking Proposal is not an offer to take a booking. It is an invitation for the Client to submit a Booking Request.


    If you want to proceed with a Booking Proposal, you must sign up on the Platform, validate the details of the Campaign on the booking application form (such as the brand, sector and activity, the Space and the Hire Period) and submit a Booking Request as described in clause 3 below.

    1. Booking Request

      If you want to book a Space within a Location, you must submit a Booking Request either directly or via an agency representing you.


      To submit a Booking Request, you must sign up on the Platform, complete the booking application form with details of the Campaign (such as the brand, sector and activity, the Space and the Hire Period) and read and accept the Booking Terms by clicking on the dedicated click box.


      After you submit a Booking Request, you will receive an email acknowledging your Booking Request with copy of the Booking Terms and details of the Location Provider contact.

      1. Booking Confirmation

        If the Space you want to book for the Campaign is available and the Location Provider accepts your Booking Request, the Location Provider will send you a Booking Confirmation (by email and via the Platform) confirming the details of your Campaign.


        A Booking Confirmation offers you a priority right over the Space. In consequence, you understand and agree that the Booking Confirmation is legally binding on you and you commit to completing your booking by signing a Licence and paying the Cost of Space.


        It is requested you meet the Access Conditions and sign a Licence to secure your booking. This is mandatory for accessing the Space on the Access Date. Unless and until the Client has signed a Licence with the Location Provider, the Location Provider cannot guarantee that the Space will remain available for your Campaign and reserves the right to cancel or modify your booking.


        For technical reasons or other circumstances beyond our reasonable control, it is possible that the Platform will incorrectly display the Space you want to book as available when in fact it is unavailable. While such occurrences remain exceptional, you will be informed without undue delay and you acknowledge that no liability shall be incurred by us as a result of such unavailability.

        1. Access Conditions

          For accessing the Space on the Access Date, you must fulfill the following Access Conditions:


          • Copies of the visuals and layouts for the Campaign must be submitted for approval to the Location Provider in the format required.
          • You must submit any additional documentation or information required by the Location Provider such as copies of your insurance documentation, certificate of incorporation, any documentation for evaluating the risk and compliance of the Campaign.
          • Sign a Licence.
          1. Licence

            It is mandatory to sign a Licence for you to secure your booking and be permitted to access the Space on the Access Date.


            You will only be allowed to sign a Licence if the Access Conditions are fulfilled. If the Access Conditions are not fulfilled before the Access Date, you will be refused access to the Space and you will not be able to conduct the Campaign. In such a case, the Cost of Space shall remain due and payable.


            Copy of the template Licence is sent to you by the Location Provider and is also accessible at all times at https://westfieldrise.locationlive.com/templatelicence.


            The Licence is to be signed between you and the Location Provider. The governing law of the Licence will be the law of the country in which the Location is located or French Law if the Campaign is conducted in multiple countries.


            The Licence contains details regarding the terms applicable to conduct the Campaign in the Space. Access to the Space and conducting the Campaign are entirely governed by the Licence, including any request to change the details of the Campaign.

            1. Modification of the Booking Request

              1. Once you submitted a Booking Request and before receiving a Booking Confirmation, you have to contact the Location Provider for proceeding with any modification you would require regarding details of your Booking Request.


                If the Location Provider is willing to accept the modification you requested, the Location Provider will cancel the Booking Request and send a new Booking Proposal which you can then accept through the Platform by submitting a Booking Request in accordance with Clause 3.


                If the Location Provider does not accept the modification you requested, your Booking Request is cancelled without any compensation from its side and without any cost on your side.


                You can also cancel a Booking Request at no charge. This can be done directly on the Platform.

              2. The Location Provider can propose amendments to your Booking Request by sending you a new Booking Proposal.


                If you accept the new Booking Proposal, you will be required to validate the details of the Campaign through the Platform by submitting a Booking Request as described in clause 3 above. If you decline the amendments, your booking will be automatically cancelled without any compensation from the Location Provider’s side and without any cost on your side.


                The Location Provider can also propose amendments by modifying directly the Booking Request. If you accept the proposed amendments, the Location Provider will send you a Booking Confirmation (by email and via the Platform) confirming the details of your Campaign. If you reject the proposed amendments, your booking will be automatically cancelled without any compensation from the Location Provider’s side and without any cost on your side.

            2. Modification of the Booking Confirmation

              1. Any change on the Booking Confirmation must be submitted to and approved by the Location Provider. Due to operational and organizational constraints, the Client understands that modification of the Booking Confirmation must be exceptional. The Location Provider has no obligation to accept the requested modification.


                If the requested modification is approved, the Location Provider will send by email an Amended Booking Confirmation.


                If the requested modification is refused, the Booking Confirmation will remain in force under the original conditions. If such conditions do not satisfy you, you may proceed with the cancellation of the Booking Request subject to Clause 9 of the Booking Terms.

              2. The Location Provider may need to modify the Booking Confirmation (for instance if the Space is not suitable for the Campaign).


                If the Client agrees with the modification, the Location Provider will send by email an Amended Booking Confirmation.


                If the Client does not agree to the modification, the Booking Confirmation is cancelled without any other compensation from the Location Provider’s side and at no charge for the Client.

            3. Cancellation of the Booking Confirmation

              1. Subject to clauses 9.2 and 9.3, the Client can cancel the Booking Confirmation at any time prior to the Client and the Location Provider signing the Licence by giving a written cancellation notice to the Location Provider.
              2. If the Client submits a cancellation notice:


                1. 2 weeks before or less than 2 weeks before the Access Date, the Client must pay a Cancellation Fee equal to 100% of the Cost of Space;
                2. Between 2 and 6 weeks before the Access Date, the Client must pay a Cancellation Fee equal to 50% of the Cost of Space;
                3. Up to 6 weeks before the Access Date, the Client must pay a Cancellation Fee equal to 10% of the Cost of Space.
              3. The Cancellation Fee becomes immediately due and payable upon the Client giving the cancellation notice to the Location Provider. An invoice will be issued to the Client for the Cancellation Fee including applicable VAT and terms for the payment.
              4. The Client is informed and agrees that for so long as Access Conditions are not met, and in particular for so long as a Licence is not signed, the availability of the Space is not guaranteed and the Location Provider reserves the right to cancel or modify your Booking Confirmation. In such a case, the Location Provider will reimburse the Client for the Cost of Space that may have been paid without any other compensation.
              5. Upon the Client and the Location Provider signing the Licence, the terms of the Licence shall govern cancellation and termination.
            4. Payment of the Cost of Space and the Additional Costs

              Terms for the payment of the Cost of Space and the Additional Costs will be set out in the Licence.

              1. Data protection

                When you submit a Booking Request or agree to a Booking Proposal, you accept that Location Live transfers your personal data to us so we can conduct the necessary processing of your personal data required for the performance of the Booking Terms and for the purposes of managing the business relationship with the Client. The personal data are retained for the duration of the contractual relationship, extended by the applicable statutory limitation period. The data are intended for authorized personnel and any subcontractors we may engage. We endeavor to process personal data within the European Union. However, personal data may, on an exceptional basis, be transferred outside the EU. In such cases, the transfers will be subject to appropriate safeguards to ensure an adequate level of data protection (e.g., standard contractual clauses, binding corporate rules, adherence to the Privacy Shield, etc.).


                You have the right to access, rectify, erase, or port the personal data, as well as the right to object to or request the restriction of processing, under the conditions and within the limits set by applicable regulations. You also have the right to issue specific instructions regarding the retention, erasure, and communication of your personal data after your death.

                You may also lodge a complaint with the CNIL (Commission Nationale de l’Informatique et des Libertés).

                1. Intellectual Property

                  The content related to the Locations, including but not limited to texts, editorial content, photos, images, graphics, videos, sounds, maps, logos, trademarks, information, (collectively, the "Content") are protected by applicable intellectual property laws, copyright, trademarks, trade names, patents, or other proprietary rights and belong to us, are controlled by us, or have been licensed to us.


                  It is expressly stated that we are the sole owners of the Content. We grant you a personal, non-exclusive, worldwide, non-transferable, non-sublicensable, limited, and revocable right to review the Content for proceeding with a Booking Request. Any other use of the Content, including but not limited to any attempt to extract or copy the Content, is strictly prohibited and may be subject to legal action.

                  1. Transfer

                    You authorise us to transfer, assign, or delegate any of our rights or obligations under these Booking Terms to any third party.

                    1. Severability / Entire agreement

                      If any provision of these Booking Terms is found to be invalid, void, or unenforceable for any reason, it will be deemed severable from the other provisions of these Booking Terms and will not affect the validity of the remaining provisions of these Booking Terms, which will remain in full force and effect. These Booking Terms cannot be modified or terminated orally. All obligations that by their nature must survive the termination of these Booking Terms will continue to bind the parties.

                      1. Governing law and jurisdiction

                        The Booking Terms are governed by French law, and the parties hereby irrevocably submit to the exclusive jurisdiction of the any competent court within the jurisdiction of the Paris Court of Appeals (Cour d’Appel) in respect of any and all disputes or matters arising out of or in connection with the Booking Terms.

                        1. Updating the Booking Terms

                          We reserve the right to modify or update these Booking Terms at any time. You will be informed of any changes to these Booking Terms by the means we deem most appropriate (email, notification, posting of the revised Booking Terms on the Platform). The latest applicable version of the Booking Terms is the one published on the Platform. If we make changes and your consent is required under applicable law, we will seek your consent.
